1. Agreement to Terms
By accessing or using any website, web application, or mobile application operated by Edmento Technologies Private Limited (“Edmento”, “we”, “us”, or “our”) — including edmento.com, app.edmento.com, and all associated sub-domains (collectively, the “Platform”) — you agree to be bound by these Terms of Use (“Terms”). If you do not agree, please discontinue use immediately.
These Terms constitute a legally binding agreement between you and Edmento Technologies Private Limited, a company incorporated under the Companies Act, 2013, with its registered office at Cherukavu, Malappuram, Kerala 676519, India.
2. Description of Services
Edmento Resolve AI is a B2B Software-as-a-Service (SaaS) school management platform offered in Standard, Premium, Custom, and Ultimate subscription tiers, designed for CBSE and other recognised Indian educational boards. The Platform serves school administrators, teachers, students, and parents within a contracted institution.
Services are delivered entirely digitally over the internet on a subscription basis. Access is contingent on timely payment of applicable subscription fees and full compliance with these Terms. The applicable SAC code for our services under the GST framework is 998314.
3. Eligibility
You must be at least 18 years of age, or the age of majority in your jurisdiction, to create an account or enter into a subscription agreement. For institutional accounts (schools, coaching centres), the authorised signatory must have the legal authority to bind the institution.
Student accounts created under an institutional licence may be used by minors, subject to parental or institutional consent as required under applicable data protection laws, including the Digital Personal Data Protection Act, 2023 (DPDP Act).
4. Account Registration & Security
You agree to:
- Provide accurate, current, and complete information during registration and keep such information updated.
- Keep your login credentials strictly confidential and not share them with any unauthorised person.
- Notify us immediately at support@edmento.com upon discovery of any unauthorised use of your account.
- Accept full responsibility for all activities that occur under your account.
Edmento reserves the right to suspend or terminate accounts found to be in violation of these Terms or used for fraudulent, abusive, or illegal purposes, without prior notice and without liability.
5. Subscription, Billing & Payment
Subscriptions are billed on an annual basis per active student enrolled under the institutional subscription. All fees are quoted in Indian Rupees (INR) and are inclusive of Goods and Services Tax (GST) at the applicable rate (currently 18% comprising CGST 9% and SGST 9% for intra-state transactions), unless expressly stated otherwise.
Payments are processed through authorised payment gateway partners, including Payment Aggregators regulated by the Reserve Bank of India and internationally recognised payment processors. Edmento does not store your card, UPI, or bank account credentials on its servers. By completing a payment, you also agree to the applicable payment gateway’s terms of service and privacy policy.
Available payment methods may include UPI, Credit and Debit Cards (Visa, Mastercard, RuPay, American Express), Net Banking, and supported digital wallets. Specific payment methods available at checkout are subject to change without notice.
Subscriptions automatically renew at the end of each billing cycle unless cancelled in accordance with Section 7 of these Terms. Renewal pricing will be communicated at least 30 days before the renewal date.
6. AI-Powered Features — Usage Limits & Disclaimers
The Platform incorporates artificial intelligence features to enhance educational workflows. You acknowledge and agree to the following:
- AI-generated content (question papers, quiz questions, lesson plans, reports, writing assistance, and similar outputs) is provided as a drafting aid and decision-support tool. It does not constitute professional, legal, medical, or regulatory advice of any kind.
- All AI-powered features are subject to standard token and usage limits per session or per generation request. These limits are designed to ensure fair usage across all subscribers and may be revised by Edmento with reasonable notice.
- Upgraded usage allocations may be available upon request and may be subject to additional charges.
- Edmento does not guarantee the accuracy, completeness, or fitness for purpose of any AI-generated content. Users are solely responsible for reviewing, validating, and approving any AI-generated content before use, including before distributing question papers, reports, or communications to students, parents, or staff.
- AI features that access live school data (such as attendance, fee status, and performance records) are subject to strict Role-Based Access Controls. Edmento shall not be liable for decisions made by school administrators or staff based on AI-generated insights.
7. Data Ownership
All institutional data, student academic records, and school-specific content uploaded to or generated within the Platform by an institution remain the exclusive property of that institution. Edmento processes such data solely as a data processor acting on the institution’s instructions, and does not claim ownership of, sell, or commercialise institutional data.
Upon termination or expiry of a subscription, Edmento will provide the institution with a reasonable opportunity to export its data in a standard format before deletion in accordance with our data retention schedule.
8. Acceptable Use Policy
You agree not to:
- Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Platform or any AI model powering it.
- Reproduce, duplicate, copy, sell, or resell any portion of the Platform without express written permission from Edmento.
- Upload, transmit, or distribute any content that is unlawful, defamatory, obscene, infringing, or harmful to minors.
- Use automated tools (bots, scrapers, crawlers) to access the Platform without prior written consent from Edmento.
- Circumvent or attempt to circumvent any security measures, access controls, Role-Based Access Controls, or subscription restrictions.
- Use the Platform in any manner that could damage, overburden, or impair its infrastructure or degrade service quality for other users.
- Misrepresent your identity, affiliation with any school, institution, or organisation, or your authority to bind any entity.
- Share, redistribute, or transfer school-branded mobile applications issued under an institutional licence to persons outside the contracted institution.
Violation of this policy may result in immediate suspension or termination of your account without refund and may expose you to civil or criminal liability.
9. Third-Party Integrations & Services
The Platform may integrate with or provide access to third-party services including but not limited to video conferencing platforms, payment gateways, and communication services. Edmento does not control and is not responsible for the availability, accuracy, content, or practices of any third-party service. Your use of third-party services is governed by those parties’ own terms and privacy policies.
Edmento reserves the right to add, modify, or remove third-party integrations at any time without notice, and such changes shall not constitute grounds for a refund or breach of contract.
10. Intellectual Property
All content, software, trademarks, trade names, logos, AI models, and intellectual property on the Platform are owned by or licensed to Edmento Technologies Private Limited. Nothing in these Terms grants you ownership of or licence to any intellectual property beyond the limited, non-exclusive, non-transferable right to use the Service as described herein.
Content you upload or create on the Platform (‘User Content’) remains your property. By uploading User Content, you grant Edmento a limited, non-exclusive, royalty-free licence to host, store, display, and process your content solely for the purpose of delivering the Services to you.
11. Service Availability, Maintenance & Force Majeure
Edmento targets a service uptime of 99.9% measured on an annual basis, excluding scheduled maintenance windows and events of Force Majeure. This uptime target is an operational objective and does not constitute a binding Service Level Agreement or entitle any subscriber to credits, refunds, or other remedies solely on the basis of downtime.
Scheduled maintenance will be communicated with reasonable advance notice where operationally possible. Emergency maintenance may be performed without notice where necessary to protect platform security or integrity.
Force Majeure:Edmento shall not be liable for any interruption, delay, downtime, or degradation in service quality caused by events beyond its reasonable control, including but not limited to Internet service disruptions, third-party infrastructure or cloud provider failures, power outages, acts of God, pandemic, epidemic, government orders or regulatory actions, cyberattacks, or any other cause beyond Edmento’s reasonable control (collectively, ‘Force Majeure Events’). In the event of a prolonged Force Majeure Event, Edmento will use commercially reasonable efforts to restore service and will communicate status updates to affected subscribers.
12. Disclaimer of Warranties
The Platform is provided on an ‘as is’ and ‘as available’ basis. To the maximum extent permitted by applicable law, Edmento disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, accuracy of AI-generated outputs, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
13. Limitation of Liability
To the maximum extent permitted by applicable law, Edmento’s aggregate liability arising from or relating to these Terms or the Service — whether in contract, tort, or otherwise — shall not exceed the total subscription fees paid by you in the twelve (12) months immediately preceding the claim.
In no event shall Edmento be liable for: (a) indirect, incidental, special, consequential, or punitive damages; (b) loss of data, revenue, profits, goodwill, or business opportunity; (c) damages arising from reliance on AI-generated content; or (d) damages arising from third-party service failures, even if Edmento has been advised of the possibility of such damages.
14. Indemnification
You agree to indemnify, defend, and hold harmless Edmento, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party rights.
15. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Republic of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Malappuram, Kerala.
Before initiating legal proceedings, both parties agree to attempt good-faith resolution through written negotiation for a period of 30 days following written notice of a dispute to legal@edmento.com.
16. Changes to Terms
We reserve the right to update these Terms at any time. Material changes will be communicated via email or a prominent notice on the Platform at least 14 days prior to taking effect. Continued use of the Service after the effective date of the revised Terms constitutes your acceptance of those changes.
